Conducting legal research can challenge even the most skilled law practitioners.

As laws evolve across jurisdictions, it can be a difficult to keep pace with every legal development. Equally daunting is the ability to track and glean insights into stakeholder strategies and legal responses. Without quick and easy access to the right tools, the legal research upon which case strategy hinges may face cost, personnel, and litigation outcome challenges.

What is legal research?

Legal research is the process of uncovering and understanding all of the legal precedents, laws, regulations, and other legal authorities that apply in a case and inform an attorney’s course of action.

Legal research often involves case law research, which is the practice of identifying and interpreting the most relevant cases concerning the topic at issue. Legal research can also involve a deep dive into a judge’s past rulings or opposing counsel’s record of success.

Research is not a process that has a finite start and end, but remains ongoing throughout every phase of a legal matter. It is a cornerstone of a litigator’s skills.

Where do I begin my legal research?

Beginning your legal research will look different for each assignment. At the outset, ensure that you understand your goal by asking questions and taking careful notes. Ask about background case information, logistical issues such as filing deadlines, the client/matter number, and billing instructions.

It’s also important to consider how your legal research will be used. Is the research to be used for a pending motion? If you are helping with a motion for summary judgment, for example, your goal is to find cases that are in the same procedural posture as yours and come out favorably for your side (i.e., if your client is the one filing the motion, try to find cases where a motion for summary judgment was granted, not denied). Keep in mind the burden of proof for different kinds of motions.

Finally, but no less important, assess the key facts of the case. Who are the relevant parties? Where is the jurisdiction? Who is the judge? Note all case details that come to mind.

What if I’m new to the practice area or specific legal issue?

While conducting legal research, it is easy to go down rabbit holes. Resist the urge to start by reviewing individual cases, which may prove irrelevant. Start instead with secondary sources, which often provide a prevailing statement of the law for a specific topic. These sources will save time and orient you to the area of the law and key issues.

This tool helps you quickly find other cases that have expressed the same Point of Law, and directs you to related Points of Law that might be relevant to your research. It is automatically updated with the most recent opinions, saving you time and helping you quickly drill down to the relevant cases.

How do I respond to the opposing side’s brief?

Whether a brief is yours or that of the opposing party, Bloomberg Law’s Brief Analyzer is an essential component in the legal research process. It reduces the time spent analyzing a brief, identifying relevant authorities, and preparing a solid response.

To start, navigate to Brief Analyzer available from the Bloomberg Law homepage, within the Litigation Intelligence Center , or from Docket Key search results for briefs.

Simply upload the opposing side’s brief into the tool, and Brief Analyzer will generate a report of the cited authorities and arguments contained in the brief.

How to optimize your search.

Crafting searches is a critical skill when it comes to legal research. Although many legal research platforms, including Bloomberg Law, offer natural language searching, terms and connectors (also called Boolean) searching is still a vital legal research skill and should be used when searching across court opinions, dockets, Points of Law, and other primary and secondary sources.

When you conduct a natural language search, the search engine applies algorithms to rank your results. Why a certain case is ranked as it is may not be obvious. This makes it harder to interpret whether the search is giving you everything you need. It is also harder to efficiently and effectively manipulate your search terms to zero in on the results you want. Using Boolean searching gives you better control over your search and greater confidence in your results.

The good news? Bloomberg Law does not charge by the search for court opinion searches. If your initial search was much too broad or much too narrow, you do not have to worry about immediately running a new and improved search.

Follow these tips when beginning a search to ensure that you do not miss relevant materials:

  • Make sure you do not have typos in your search string.
  • Search the appropriate source or section of the research platform. It is possible to search only within a practice area, jurisdiction, secondary resource, or other grouping of materials.
  • Make sure you know which terms and connectors are utilized by the platform you are working on and what they mean – there is no uniform standard set of terms of connectors utilized by all platforms.
  • Include in your search all possible terms the court might use, or alternate ways the court may address an issue. It is best to group the alternatives together within a parenthetical, connected by OR between each term.
  • Consider including single and multiple character wildcards when relevant. Using a single character wildcard (an asterisk) and/or a multiple character wildcard (an exclamation point) helps you capture all word variations – even those you might not have envisioned.
  • Try using a tool that helps you find additional relevant case law. When you find relevant authority, use BCITE on Bloomberg Law to find all other cases and/or sources that cite back to that case. When in BCITE, click on the Citing Documents tab, and search by keyword to narrow the results. Alternatively, you can use the court’s language or ruling to search Points of Law and find other cases that addressed the same issue or reached the same ruling.

How can legal research help with drafting or strategy?

Before drafting a motion or brief, search for examples of what firm lawyers filed with the court in similar cases. You can likely find recent examples in your firm’s internal document system or search Bloomberg Law’s dockets. If possible, look for things filed before the same judge so you can get a quick check on rules/procedures to be followed (and by the same partner when possible so you can get an idea of their style preferences).

Careful docket search provides a wealth of information about relevant cases, jurisdictions, judges, and opposing counsel. On Bloomberg Law, type “Dockets Search” in the Go bar or find the dockets search box in the Litigation Intelligence Center .

If you do not know the specific docket number and/or court, use the docket search functionality Docket Key . Select from any of 20 categories, including motions, briefs, and orders, across all 94 federal district courts, to pinpoint the exact filing of choice.

Dockets can also help you access lots of information to guide your case strategy. For example, if you are considering filing a particular type of motion, such as a sanctions motion, you can use dockets to help determine how frequently your judge grants sanctions motions. You can also use dockets to see how similar cases before your judge proceeded through discovery.

If you are researching expert witnesses, you can use dockets to help determine if the expert has been recently excluded from a case, or whether their opinion has been limited. If so, this will help you determine whether the expert is a good fit for your case.

Dockets are a powerful research tool that allow you to search across filings to support your argument. Stay apprised of docket updates with the “Create Alert” option on Bloomberg Law.

For even more competitive research insights, dive into Bloomberg Law’s Litigation Analytics – this is available in the Litigation tab on the homepage. Data here helps attorneys develop litigation strategy, predict possible outcomes, and better advise clients.

To start, under Litigation Analytics , leverage the Attorney tab to view case history and preview legal strategies the opposition may practice against you. Also, within Litigation Analytics, use the Court tab to get aggregate motion and appeal outcome rates across all federal courts, with the option to run comparisons across jurisdictions, and filter by company, law firm, and attorney.

Use the Judge tab to glean insights from cited opinions, and past and current decisions by motion and appeal outcomes. Also view litigation analytics in the right rail of court opinions.

Docket search can also offer intel on your opponent. Has your opponent filed similar lawsuits or made similar arguments before? How did those cases pan out? You can learn a lot about an opponent from past appearances in court.

How do I validate case law citations?

Checking the status of case law is essential in legal research. Rely on Bloomberg Law’s proprietary citator, BCITE. This time-saving tool lets you know if a case is still good law.

Under each court opinion, simply look to the right rail. There, you will see a thumbnail icon for “BCITE Analysis.” Click on the icon, and you will be provided quick links to direct history (opinions that affect or are affected by the outcome of the case at issue); case analysis (citing cases, with filter and search options), table of authorities, and citing documents.

How should I use technology to improve my legal research?

A significant benefit of digital research platforms and analytics is increased efficiency. Modern legal research technology helps attorneys sift through thousands of cases quickly and comprehensively. These products can also help aggregate or summarize data in a way that is more useful and make associations instantaneously.

For example, before litigation analytics were common, a partner may have asked a junior associate to find all summary judgment motions ruled on by a specific judge to determine how often that judge grants or denies them. The attorney could have done so by manually searching over PACER and/or by searching through court opinions, but that would take a long time. Now, Litigation Analytics can aggregate that data and provide an answer in seconds. Understanding that such products exist can be a game changer. Automating parts of the research process frees up time and effort for other activities that benefit the client and makes legal research and writing more efficient.

Tools like  Points of Law ,  dockets  and  Brief Analyzer  can also increase efficiency, especially when narrowing your research to confirm that you found everything on point. In the past, attorneys had to spend many hours (and lots of money) running multiple court opinion searches to ensure they did not miss a case on point. Now, there are tools that can dramatically speed up that process. For example, running a search over Points of Law can immediately direct you to other cases that discuss that same legal principle.

However, it’s important to remember that digital research and analytical tools should be seen as enhancing the legal research experience, not displacing the review, analysis, and judgment of an attorney. An attorney uses his or her knowledge of their client, the facts, the precedent, expert opinions, and his or her own experiences to predict the likely result in a given matter. Digital research products enhance this process by providing more data on a wider array of variables so that an attorney can take even more information into consideration.

Unresolved Legal Issues

Another common approach to finding a research topic is to examine an unresolved legal issue. Unresolved legal issues can occur when courts have split in their interpretation of the law, leaving the ultimate meaning of the law unresolved. In the United States, this is known as a 'circuit split' because it is based on federal circuit courts interpreting the same legal issue differently. These sorts of issues are ripe for appeal to the US Supreme Court, the highest court in the land. 

A research topic may describe the split, identify any issues that may be influencing the courts, and propose a way to distinguish the situations or resolve the discrepancy. These topics can be very timely and relevant. However, if the discrepancy is resolved before your paper is completed, the topic can be rendered entirely obsolete. Because these topics are so popular in the United States, there are resources dedicated solely to tracking circuit splits, including the following:

Topic Definition Stage

Topic definition is an important stage in the legal research process.

A clearly defined research topic will steer your research, dictate where to start with your research, and help you more quickly find relevant legal information.

If you do not spend time on this Stage, you will likely find yourself down the research rabbit hole looking at sources that, in the end, are irrelevant to your final research product. 

In this Stage:

  • Identify the Purpose of Your Research
  • Determine the Broad Area(s) of Law
  • Focus in on a Research Topic
  • Refine Your Topic Scope

1. Identify the Purpose of this Research

There are two main types of legal research:

  • Academic legal   research is generally scholarly, such as research done for a term paper, thesis, or as a research assistant for a professor.
  • Practical  legal research is focused more on professional research tasks such as writing a memorandum, preparing for trial argument, or drafting a pleading. 

Note: Since a JD is a professional degree, law school assignments are often practical in nature, even though you are completing them in an academic setting.

The Topic Definition Stage will vary depending on the type of research, because they have different goals and research products (e.g. an essay versus a memo). For example:

  • A law student writing a paper for a course may have a lot of agency in choosing a topic within a broad area of law. 
  • A lawyer may need to define their topic by analysing their client's fact scenario.
  • An articling student or research assistant may have a topic identified for them by a supervisor, but they will likely need to ask follow up questions to refine the scope of that topic. 

For these reasons, it is hard to describe one process for the Topic Definition stage. But in both types of research, you will want to make sure you have identified all three of the following a) the broad area of law, b) a research topic, and c) your topic scope.

2. Determine the Broad Area(s) of Law

Areas of law are not particular legal issues. Rather, they encompass broad subjects like health law, environmental law, and constitutional law.

While it may sound obvious, legal researchers sometimes start with a very specific idea of their research topic. Identifying the broader area(s) of law helps you:

  • Establish parameters for your research (what information can I exclude from my searches?).
  • Locate introductory sources like treatises, which typically are named for a broad area of law (e.g. The Law of Contracts ).
  • Identify high level keywords you can use for searching, browsing, and filtering legal information.

These techniques all help you effectively wade through the high volume of legal information—especially case law—that is available using modern research tools.

3. Focus in on your Research Topic

A research topic is a specific legal issue, problem, or other aspect you want to investigate in your research.

If you are starting from a fact scenario, this is where you will start to identify the legally relevant facts, and then translate those facts into legal issues. Keep in mind:

  • Often facts may be characterized in a number of different ways. Avoid stating the issues too narrowly at this point. Try to conceptualize them in alternate ways.
  • To get started, create a comprehensive list of everything you think needs to be included. Then revise the list into a more logical order. 
  • It may be impossible to identify all the issues in your initial attempt. You will refine your understanding of the legal issues as your research progresses.

If you are starting from a blank slate, consider the following questions:

  • Are there any particular legal issues in this area of law that interest you? 
  • Is there a conflict, gap, or new development in this area of law?
  • Is there a recent case in this area that signals changes to the law or new issues?
  • Is there a common or uncommon practice relating to this area of law?
  • Do different jurisdictions handle a particular legal problem in different ways?

4. Refine Your Topic Scope

Refining your research topic means narrowing it to a manageable scope. It will allow you to know what is and isn't applicable to your research.

How you narrow your scope will depend on your topic and also the parameters of the research task; a dissertation will have a much different scope than a 5-page memo. 

The following questions can help refine your research topic:

  • Are you looking at one issue or multiple, interconnected issues?
  • What jurisdiction(s) are you researching? Are you conducting comparative research?
  • Do you want to do research the law as it was (historical research), as it is currently, or how it may evolve in the future? 

Note: Be prepared for your research topic to change as you start your research. Just because this is the first Stage does not mean that it must be completed fully before you move on.

This is especially true for academic research, where you may broaden or limit your topic based on the number of cases, statutes, and other resources that emerge in your initial research. 

For example, say that your topic is one with little or no case law in your proposed jurisdiction, such as the  liability of generative AI companies in copyright infringement in Canada . If your assignment parameters require you to conduct case law research, you may need to broaden your topic:

  • You could broaden the jurisdiction (if relevant), such as by looking at American case law. 
  • You might broaden your focus to other types of liability, if those are better represented in case law.
  • You may consider using other types of copyright infringement cases to explore how the law on this topic may develop in the future.

New HKS research asks communities what reimagining public safety means to them.

In neighborhoods experiencing discrimination from law enforcement, police are viewed both as part of the problem and the solution.

Is it possible for marginalized communities to work together to create thriving neighborhoods? Is there a role for police officers, who are often mistrusted, in this effort?

This was the subject of the latest research from Harvard Kennedy School’s Program in Criminal Justice Policy and Management (PCJ), led by faculty director Sandra Susan Smith.

Smith, the Daniel and Florence Guggenheim Professor of Criminal Justice and the Carol K. Pforzheimer Professor at the Radcliffe Institute, formed the Roundtable on Racial Disparities in Massachusetts Criminal Courts at the PCJ in 2021. Its goal is to influence future policies, practices, and procedures to eradicate the sources of racial inequity and racial disparity in Massachusetts’s courts.

The Roundtable, under the direction of Smith, has studied issues such as jury exclusion and reducing racial disparities through decriminalization. The latest study, This is What Thriving Communities Look Like , looked at four neighborhoods in the greater Boston area to better define what is meant by “reimagining public safety.”

Smith, with Amisha Kambath, a research assistant at the PCJ who is beginning Yale Law School this fall, and Noor Toraif, an assistant professor at UPenn, wanted to understand what it meant for people to feel and be safe in their neighborhoods. Working with focus groups in Roxbury, Dorchester, East Boston and South Boston—communities that have different racial and class compositions but share a troubled relationship with law enforcement—the team gained insights on what residents need to thrive and what role policing can play.

“Ever since the murder of George Floyd in 2020 and the conviction of the Minneapolis police officer who killed him, we have heard this plea to reimagine public safety,” the authors wrote. “In working with the residents of these Boston neighborhoods, we hoped to understand what a safe, thriving community looked like to them. And how law enforcement fits into that picture.”

As Smith revealed in a recent  PCJ report  the residents of these Boston communities report higher rates of police harassment and as a result feel a deep distrust of law enforcement.

“We also knew that creating a thriving community required deliberate and sustained engagements with residents themselves, with a particular emphasis on those most often targeted for aggressive and harmful police interventions but least considered when questions about how to achieve public safety arise,” the researchers wrote.

After a series of focus group sessions, which included participants from each of the four communities, people with diverse experiences and relationships to the state, including a range of age groups as well as formerly incarcerated residents, Kambath, Toraif, and Smith identified three themes:

  • What thriving communities look like
  • What communities need to thrive
  • What role police could play in creating and maintaining safe, healthy, and thriving communities.  

What is “thriving”?  

Inherent in thriving communities, Smith’s team found, was a sense of community cohesion and freedom from harm: as one young adult respondent put it, “everyone kind of having each other’s back.”

The research team noted one striking response when talking about a sense of community.

“Rather than look to more affluent neighborhoods as examples of community cohesion,” the researchers wrote, “these residents most often looked back in time at their own neighborhoods where they were born and raised.”

Respondents pointed out how neighbors would sit on their porches to watch the street, cleaned the areas of trash, and actively engaged with one another in public spaces—all positive signs of a thriving community.

Other respondents noted that local events can enhance a sense of belonging. A formerly incarcerated resident described the East Boston farmer’s market, saying “Every Wednesday they pass out fresh vegetables to the public. It’s a thriving place. It’s a place to bring people together.”

The study indicated that the prevailing threat to safety was easy access to guns, a fear supported by Boston police statistics for the communities. None of the respondents could envision thriving without freedom from violence. 

“Violence, experienced directly or indirectly and with or without guns, impacts the physical and mental health of residents,” said Smith. “It also erodes resident’s ability and willingness to engage in ways that contribute positively to their communities.”

What communities need  

The focus group discussions led to the research team identifying three themes for creating a thriving community: a healthy built environment, greater investments in capital development, and access to high quality physical and mental healthcare.

“Our participating residents focused on specific aspects of the built environment,” wrote Kambath, Toraif, and Smith, pointing to greater access to green spaces, parks and recreation. Many spoke of the need for more trees. The team identified prior research that noted the benefits of green space to help reduce violent crime and found that tree canopy coverage—areas shaded by trees—were especially low in two of the focus group communities.

Neighborhood gentrification—where poorer, urban communities are revitalized by wealthier citizens, often displacing the current residents—was also systemic in these areas, contributing to housing instability for longtime residents. In fact, Boston ranks third among highly gentrified cities in the country, with the four neighborhoods in this study at risk, according to a 2020 study by the National Community Reinvestment Coalition.

Investment in human capital was also top of mind, not only enhanced, free education for the area’s youth, but skill-building opportunities for adults as well. And as one resident argued, there was a sense that jobs and contracts in these neighborhoods should go to community members first.

Residents in all four neighborhoods identified a need for far more resources to address health concerns, especially mental health and substance abuse issues, but feared that more affluent communities with far less need for public support would be privileged in the city’s decision-making.

What can policing do  

“When imagining safe and thriving communities,” Kambath, Toraif, and Smith noted, “Residents offered a wide range of views about the role police can play.” Many saw “police as protectors” equating public safety with police.

Others identified the police as flawed, unresponsive, and failing to treat residents with respect. Nevertheless, the research found residents wanted police to be protective and believed that through training they could become better public servants. As one East Boston resident said, “We need more police officers” to provide a sense of security.

And then some respondents viewed police as “violence workers.” “They terrorize our young people” is how one formerly incarcerated Roxbury-Dorchester resident put it.

"In a related report that the PCJ released in June based on analysis of a representative sample of Boston residents,” Smith wrote, “Our analysis of this Boston survey not only revealed that police harassment is predictive of distrust and eroded feelings of community safety, but police harassment is also predictive of symptoms of trauma and associated with chronic health issues.”

“These findings, which are consistent with prior research in this area, suggest that police harassment might be a direct and indirect contributor in making communities unsafe, thwarting residents’ efforts to thrive,” she continued.

The study, while sobering on many fronts, also offered opportunities for collaboration in these communities. And residents felt they had taken the first important steps, being heard, voicing concerns, and participating in solutions.

"What comes through powerfully from these focus group meetings is the level of sophistication that residents have in identifying the very real structural barriers to thriving their communities face and offering concrete, workable solutions to overcome these,” said Smith. Responses from residents even included photographs of what a thriving community meant to them.

“They are the experts that we should be listening to. In this way, they are no different than generations of residents who have come before them. It is well passed time that we take their ideas seriously."

Saudi Arabia: Introduction of the New Investment Law

The Ministry of Investment of Saudi Arabia ("MISA") has published a new Investment Law (the "Investment Law"), which will replace the Foreign Investment Law issued by Royal Decree No. (M/1) dated 5/1/1421 H (corresponding to April 10, 2000) and its executive regulations issued by the resolution of the Board of Directors of the General Authority for Investment -MISA's predecessor - No. (2/74) dated 12/5/1435 H (corresponding to March 13, 2014).

The Investment Law aims to further Vision 2030 by facilitating the diversification of Saudi's economy and enhancing its competitiveness as a global investment hub. The law was drafted after conducting a thorough study with a detailed research methodology/ benchmarking exercise to consolidate best international practices. (Benchmark jurisdictions included Indonesia, Singapore, Germany, the U.A.E., Turkey, and the U.S.A.) The Investment Law will come into force 180 days after its publication in the Official Gazette and its implementing regulations will be issued within the same period.

  • The Investment Law calls for the replacement of the current foreign investment licensing process with a simplified registration procedure.
  • The Investment Law introduces a new penalty regime that distinguishes between serious and less serious violations by taking into account the frequency of the violation, the size of the facility and the severity of the penalty. In the case of non-serious violations in particular the investor may avoid penalties by responding to a warning.

UAE CT: “Determination of Taxable Income” Guide

The Federal Tax Authority (FTA) has released a Corporate Tax (“CT”) Guide on Determination of Taxable Income (“TI”). This Guide serves as a significant resource, providing clarifications and additional insights on various important topics calculation of the TI. Here is our overview of the guide followed by our key takeaways.

Overview of the Guide

The Guide seeks to provide general guidance to Taxable Persons for determining their TI and calculating their CT Payable under the CT Law, including the following:

adjustments required to be made to Accounting Income (“AI”) for determining TI, and

adjustments required to be made to TI for calculating the CT Payable.

The Guide is also applicable to a Qualifying Free Zone Person (“QFZP”) where relevant.

The Guide includes 9 detailed case studies to illustrate the key concepts for determination of TI. They provide specific fact patterns, illustrative extracts of financial information from the Financial Statements, followed by tax adjustment tables, and explanatory notes with calculations for taxable/non-taxable and deductible/non-deductible items. It is recommended that taxpayers read and understand the implications of each of them, since they cover:

Deductible and non-deductible expenditure - This case study covers the adjustments to be made to AI relating to deductible and non-deductible expenditure (excluding Interest deduction limitation rules).

Interest expenditure - This case study covers the adjustments to be made to AI relating to Interest expenditure. It covers the applicability of the General and Specific Interest Deduction Limitation Rules (i.e. deductible and non-deductible Interest expenditure and the treatment of disallowed/unutilised Net Interest Expenditure).

Tax Loss relief - This case study covers the adjustments to be made to AI relating to Tax Loss relief and the treatment of unutilised Tax Losses.

Interest expenditure and Tax Loss relief - This case study covers the adjustments to be made to AI in a situation where there is both unutilised/carried forward Net Interest Expenditure and Tax Losses.

Transfer of Tax Loss and limitation on Tax Loss carried forward - This case study covers the application of provisions relating to the transfer of a Tax Loss and the limitation on the use of Tax Loss carried forward.

Cash Basis of Accounting - This case study covers the determination of TI and calculation of CT Payable in the case of a Taxable Person having Revenue equal to or less than AED 3 million and applying the Cash Basis of Accounting.

Unrealised gains and losses, Exempt Income - This case study covers the adjustments to be made to AI for unrealised gains or losses, and for Exempt Income (such as Dividends, income from Participating Interest) including expenditure incurred in earning Exempt Income.

Foreign Permanent Establishment - This case study covers the adjustments to be made to TI in relation to the Foreign Permanent Establishment (“PE”) exemption.

Non-Resident Person conducting Business in the UAE through a Permanent Establishment - This case study covers the determination of TI and calculation of CT Payable in the case of a Non-Resident Person operating in the UAE through a PE.

Key takeaways

The Guide reiterates that the UAE CT legislation may have incentives and special reliefs for a Qualifying Business Activity (Article 20(2)g in CT Law) to be introduced via relevant Cabinet Decisions. We will wait to see what reliefs are introduced, but this could be potentially relevant and beneficial to a number of taxpayers, so updates should be monitored.

The Guide clarifies that local taxes that are not in the nature of CT, such as municipal and property taxes, will be tax deductible. 

Tax Loss relief, if any available, should be applied on the TI, i.e. the tax adjusted AI. After that, the applicable tax rates (i.e. 0% and 9%) are to be applied to the tax loss adjusted TI. 

The Revenue threshold of AED 50 million to prepare audited Financial Statements must be considered in line with the arm’s length standard. For companies incorporated in the UAE (or operating in the UAE through a PE situated in the UAE), the audit must be performed by a UAE-registered auditor. 

The Guide clarifies that if the Taxable Person does not make the election to apply the realisation basis for unrealised gains/losses in the first Tax Period, then this will be considered an irrevocable election. It is therefore important for taxpayers to determine their preferred election position as early as possible.

Employee costs are generally considered to be wholly and exclusively incurred for Business purposes provided they are not excessive and meet the arm’s length standard (where employees are Related Parties or Connected Persons). Employee benefits other than cash salaries incurred for the wealth and benefit of the employees to retain or reward them could also be deducted in full for CT purposes; the guide specifically mentions medical insurance, private car use, flight allowance for spouses and children, personal weekend travel, entertainment, etc. However, private pension fund unpaid contributions or excessive contributions (>15% of the employee’s total remuneration) are not tax deductible.

The Guide explains that expenses incurred in relation to more than one purpose (e.g. for Business purposes and in relation to Exempt Income) should be allocated based on the fair and reasonable basis. The appropriate allocation key will depend on the nature of the expense and the contribution that it makes to each income component. In many cases, an allocation that prorates expenses based on Revenue will be considered as a reasonable allocation, however, this many not always be the most appropriate allocation key. The allocation key should also be used consistently for each Tax Period, unless there is a change in fact pattern which justifies a change. If the expenditure cannot be apportioned on a fair and reasonable basis, it will not be allowed as a deduction for CT purposes.

Where non-deductible expenses are capitalised, any depreciation associated with these capitalised expenses will not be deductible for CT purposes. For example if the cost of an asset includes capitalised expenses related to government fines or non-arm's length payments to Related Parties, the proportion of depreciation related to these costs is not deductible for CT purposes.

Pre-incorporation expenses incurred before the Business is officially incorporated or set-up may be allowed if booked in the accounts and not claimed for tax deduction by another Taxable Person. Similarly, pre-trading expenses, including pre-launch and pre-commercial phase expenses, will be allowed for a tax deduction, even if the Business has not started generating Revenue in the Tax Period in which the expense is incurred.

The Guide confirms that where provisions were recorded before a Taxable Person’s first Tax Period and then reversed/recovered after the Person becomes subject to CT, the reversal/recovery is taxable when the credit is recorded in the Financial Statements. This also applies to recovery of bad debts. Taxpayers should therefore review their existing provision and bad debt profile carefully.

Per the Guide, for CT purposes the accounting classification of a particular expense is not relevant when considering whether such an expense is entertainment expenditure. The Guide provides the following grouping of expenses for CT purposes: 

(i) Entertainment for employees are generally fully deductible. Examples are staff parties, off-site events/away-days (which may include spouses and children) or rewards for meeting performance targets;

(ii) Incidental expenses for business meetings, food and refreshments in office, complimentary drinks to customers are also generally fully deductible;

(iii) Commercial hospitality. Where a Taxable Person provides commercial hospitality as part of its Business or Business Activity, for example in-flight entertainment, hotel’s packages or mid-week promotions, etc, this would not be considered entertainment expenditure and can be claimed as a deduction.

(iv) Marketing or advertising. The 50% deduction restriction rule does not apply to other marketing expenditure, such as advertising, promotions, attending trade shows or direct marketing campaigns. Nevertheless, typically discretionary costs of providing hospitality at the event such as meals, a musical performance or accommodation will be subject to the 50% restriction for entertainment expenditure. While marketing related sponsorship costs (for example, sponsoring an event) will be deductible, any benefits received as part of that sponsorship used to entertain business partners and/or customers, such as tickets to a sporting event, shall be subject to the 50% limit.

The Guide reiterates that the following will not be considered while calculating the Net Interest Expenditure for the purposes of the General Interest Deduction Limitation Rule (“GIDLR”):

Interest expenditure that is disallowed under any other provisions of the CT Law, for example, the Specific Interest Deduction Limitation Rule (“SIDLR”) or non-arm's length amounts

Interest income or Interest expenditure related to grandfathered debts (i.e. prior to 9 December 2022)

Interest income and Interest expenditure in relation to Qualifying Infrastructure Projects

Taxable Income (even if negative) before the GIDLR and Tax Loss relief is required to be increased by the following, to arrive at the “adjusted EBITDA” for the purposes of GIDLR:

Net Interest Expenditure for the relevant Tax Period

depreciation and amortisation expenditure tax deducted for the relevant Tax Period

any Interest income or expenditure relating to historical financial assets or liabilities held prior to 9 December 2022

any Interest income or Interest expenditure in relation to Qualifying Infrastructure Projects

For the interest tax deduction calculation, the Guide has an example where interest expense on trade payables and interest income on trade receivables are part of the Net Interest Expenditure calculation.

With respect to Tax Losses, the Guide envisages that a Taxable Person must first offset the Tax Loss against its own TI before such losses can be transferred to another Taxable Person and/or carried forward to subsequent Tax Periods.

The Guide reiterates that the CT liability could first be reduced by a credit for Withholding Tax (“WHT”) incurred inside UAE (i.e. by a non-resident) and then by a credit for Foreign Tax (“FTC”) incurred outside the UAE. UAE WHT is not currently applicable until a Cabinet Decision specifying the categories of income subject to WHT is issued (not at the date of this alert). The amount of FTC is the lower of:

  • (i) The actual amount of tax paid on foreign source income in the foreign jurisdiction.
  • (ii) The amount of the CT due in the UAE on the net foreign source income.
  • There is an example in the Guide for how impairment gains or losses should be treated in relation to shares in a company which is a Participating Interest. Irrespective of whether an election is made for unrealised gains/losses under Article 20(3) or not, the end result would be a tax adjustment for impairment gains/losses from a Participating Interest (non-deduction of accounting losses and non-taxation of accounting gains).

The Guide reiterates that expenditure incurred in relation to deriving Exempt Income is not deductible when determining TI.

For Related Party transactions, there is an example in the Guide where a transfer pricing adjustment is applied to reduce the TI of a Foreign PE of a UAE based Company A, with a corresponding increase of TI of Company B (a UAE based Related Party of Company A). The Foreign PE exemption is also applied by Company A, which effectively results in additional CT for Company B, but no additional tax saving for Company B due to the exemption. It is important to know the overall impact of transfer pricing adjustments on a group.

For UAE PE of a foreign company, there is an example in the Guide where TI allocated to the PE includes different types of UAE income of a foreign company:

Revenue from a 10-month construction contract performed in the UAE (no Double Tax Treaty), with additional head office costs allocated to the PE. Also, gifts to business partners are non-deductible;

Income from immovable property in the UAE (nexus);

Exempt Income: Dividend from a UAE juridical person that is a Resident Person.

Taxpayers need to carefully consider the relevance and application of these guidelines to their business.

The Guide helps to reinforce that taxpayers need to adopt a structured approach to the calculation of TI and CT payable. The tax team should take into the account the complexity of potential multiple tax adjustments to the accounting income. The data required for the adjustments may need to be obtained from several sources, for example marketing and entertainment expense details may need to come from business development or commercial teams, and interest expense details may need to come from treasury teams, etc.

In light of the potential complexity and number of business functions involved, taxpayers should consider implementing and documenting tax policies and procedures for the benefit of all internal and external stakeholders, including the FTA (should these ever be required to be produced to support the filing positions adopted). 

The financial year end for the majority of taxpayers will be 31 December 2024 (although some taxpayers may have earlier periods). It is important to have the correct calculation of CT and related deferred taxes for financial reporting purposes, so taxpayers will need to consider the implications of the Guide well in advance of starting the return filing process.
